1. Why do I need a Registered Agent?
Entities formed under Nevada law are required by statute to appoint a Registered Agent.  The law requires that there is a designated person/entity available to accept legal notice and ensure that such important information is received by the entity.

 

“Every business entity filed in the office of the Secretary of State pursuant to Title 7 of the Nevada Revised Statutes is required to appoint and maintain a registered agent who resides or is located in this state, upon whom all legal process and any demand or notice authorized by law may be served. See NRS 14.020.”

Failure to maintain a Registered Agent will result in imposition of fines against the entity, plus costs incurred by the State to collect such fines.

 
2. What does "situs" mean and why is it so important?
"Situs" (Latin for position or site) is where something is located for legal purposes.  In general, "situs" of an entity determines which laws are applicable to the entity.
